1.1.13"User", "you" or "your" means an individual who creates an account on, or otherwise uses, the Services.
1.2Headings are for convenience only. The words "including" and "in particular" are illustrative. A reference to a Clause is to a clause of these Terms. A reference to a statute includes the rules made under it, as amended or re-enacted.
2.ACCEPTANCE AND INCORPORATION OF THE PRIVACY POLICY
2.1These Terms form a binding agreement between you and the Company. You accept them by creating an account or by using the Services. If you do not agree to them, you must not use the Services.
2.2The Privacy Policy is incorporated into these Terms by reference. It explains how we process your Personal Data, including the Consent you give, separately from your acceptance of these Terms, under clause 6 of the Privacy Policy.
2.3These Terms are an electronic record under the Information Technology Act, 2000 and do not require a physical or digital signature.
3.ELIGIBILITY
3.1You must be 18 or over to use the Services. Entering your date of birth is mandatory during onboarding, and no account is created if the date entered shows that you are under 18 (see clause 12 of the Privacy Policy).
3.2The Services are offered in India only. By creating an account, you confirm that you are 18 or over, that you are resident in India, and that the information you provide is accurate.
4.THE SERVICES ARE NOT MEDICAL CARE
4.1The App is a wellness and tracking tool. It is not intended to diagnose, treat, cure, mitigate or prevent any disease or condition, and it does not provide medical advice. [CONFIRM: counsel to review the App's intended use, store listing and marketing copy for consistency with this Clause.]
4.2Nothing in the Services is a diagnosis. In particular, the App does not diagnose polycystic ovary syndrome (PCOS), endometriosis, thyroid conditions or any other condition.
4.3The nutrition, exercise, sleep and stress content in the App is general educational information. It is not a prescription or a treatment plan, and it is not tailored to your medical history, medication or diagnoses. The patterns that the App displays are observations about what you have recorded, not clinical findings.
4.4Always consult a qualified healthcare professional before changing your diet, exercise, supplements or medication, and about any symptom that concerns you. Never disregard professional medical advice, or delay seeking it, because of anything in the Services.
4.5The App is not contraception. It must not be used to prevent or to achieve pregnancy. Cycle predictions are estimates calculated from the dates you log. They are frequently imprecise, and they are least reliable for irregular cycles, PCOS, perimenopause, after stopping hormonal contraception, and during illness or significant stress. The App does not detect ovulation. Any "ovulatory" phase it shows is an estimate, not a measurement.
4.6The Services are not for emergencies. In an emergency, contact your doctor or the emergency services immediately.
5.YOUR ACCOUNT
5.1You are responsible for keeping your sign-in credentials confidential and for activity under your account. Please notify us promptly if you believe your account has been compromised.
5.2You must provide accurate information and keep it up to date.
5.3Account deletion. You may delete your account at any time from Settings → Delete my account. Deletion permanently erases your Personal Data as described in clause 10 of the Privacy Policy. Deleting your account does not cancel a Premium Subscription that is billed by a Platform Provider. You must cancel it separately under Clause 6.6.
6.FREE SERVICES AND PREMIUM SUBSCRIPTION
6.1Free Services. The following features are available without charge: cycle tracking, the home screen, the calendar and basic cycle patterns [CONFIRM: whether nutrition guidance forms part of the Free Services or the Premium Subscription] (the "Free Services").
6.2Premium Subscription. A paid subscription (the "Premium Subscription") unlocks the following additional features: the complete nutrition, movement, sleep and stress programme; detailed patterns; trophies and badges; and your own calendar events and tasks. [CONFIRM: final feature list and naming, avoiding therapeutic claims.]
6.3Pricing. The Premium Subscription is available at ₹699 per month or ₹6,999 per year, inclusive of applicable taxes [CONFIRM tax treatment]. The price displayed in the App at the moment of purchase is the price that applies.
6.4Free trial. New subscribers may be offered a 7-day free trial. Before you start a trial, the App's purchase screen will display the date on which the trial ends and the price you will be charged afterwards. Unless you cancel at least 24 hours before the trial ends, the trial converts automatically into a paid Premium Subscription at that price.
6.5Automatic renewal. The Premium Subscription is charged to your Platform Provider account when you confirm the purchase. It renews automatically for successive periods of the same length, at the then-current price, unless you cancel at least 24 hours before the end of the current period. The renewal charge is made within the 24 hours before the current period ends.
6.6Cancellation. You may cancel at any time by selecting Manage Subscription in the App's Settings, which opens the subscription management page of your Platform Provider. You may also cancel directly in your App Store or Google Play account settings. Billing is performed by the Platform Provider, so the cancellation itself is completed on its page. When you cancel, future renewals stop, and you keep access to the Premium Subscription until the end of the period you have already paid for.
6.7Refunds. Payments are processed by the Platform Provider, and refund requests are governed by its policies. Please request a refund directly from the Platform Provider.
6.8Price changes. If we change the price of the Premium Subscription, we will give existing subscribers notice through the App and the Platform Provider before the change takes effect, together with the opportunity to cancel before being charged the new price.
6.9Nothing in this Clause 6 limits any right you have under the Consumer Protection Act, 2019 or any other Applicable Law that cannot be excluded.
7.LICENCE AND ACCEPTABLE USE
7.1Subject to these Terms, the Company grants you a personal, limited, non-exclusive, non-transferable, revocable licence to use the App for your own non-commercial purposes. Where you obtained the App from the Apple App Store, this licence is further limited as set out in Clause 15.2.
7.2You must not:
7.2.1use the Services unlawfully, or in breach of any Applicable Law;
7.2.2attempt to access another User's account or data;
7.2.3probe, scan or attempt to breach the security of the Services;
7.2.4reverse engineer, decompile or disassemble the App, except to the extent that Applicable Law does not permit this right to be restricted;
7.2.5use automated means to access, scrape or overload the Services;
7.2.6resell, sublicense or redistribute the Services; or
7.2.7upload content that is unlawful or that infringes the rights of any person.
7.3We may suspend or close an account that breaches this Clause 7, in accordance with Clause 10.2.
8.USER CONTENT AND INTELLECTUAL PROPERTY
8.1You retain all rights in your User Content. You grant the Company only the limited licence it needs to store, process and display your User Content to you so that the Services can operate, in accordance with the Privacy Policy. We will not publish your User Content.
8.2The App, the Ease name and logo, the design, written content and software of the Services, and all intellectual property rights in them belong to the Company or its licensors.
9.THIRD-PARTY SERVICES
9.1The Services interoperate with services provided by the Platform Providers, including sign-in, payment and (if you choose) Google Calendar. Your use of those services is governed by their own terms and privacy policies. The Company is not responsible for them.
10.AVAILABILITY, SUSPENSION AND TERMINATION
10.1We aim to keep the Services available and accurate, but we do not guarantee that they will be uninterrupted or error-free. We may change, suspend or withdraw features. If we discontinue the Services entirely, we will give you reasonable notice and a means of exporting your User Content.
10.2You may stop using the Services and delete your account at any time under Clause 5.3. We may suspend or terminate your access if you materially breach these Terms or if Applicable Law requires it. Except where this is impracticable or unlawful, we will notify you of the reason.
10.3Clauses 4, 8, 11, 12, 13, 14 and 17 survive termination.
11.DISCLAIMER OF WARRANTIES
11.1To the fullest extent permitted by Applicable Law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. We do not warrant that predictions, calculations or guidance are accurate, complete or suitable for your circumstances. Nothing in this Clause affects any right you have under Applicable Law that cannot be excluded.
12.LIMITATION OF LIABILITY
12.1To the fullest extent permitted by Applicable Law, the Company is not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, data or goodwill, arising from your use of the Services.
12.2The Company's total aggregate liability arising out of or in connection with the Services will not exceed the greater of: (a) the amount you paid for the Services in the twelve months before the claim arose; and (b) ₹17,000.
12.3Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud.
13.INDEMNITY
13.1You agree to indemnify the Company against claims, losses and reasonable costs arising from your unlawful use of the Services or your material breach of these Terms. This Clause does not apply to any loss caused by the Company's own act or omission, and it does not affect your rights as a consumer.
14.GOVERNING LAW, DISPUTES AND GRIEVANCES
14.1These Terms are governed by the laws of India.
14.2Subject to Clause 14.3, the courts at [Delhi], India have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
14.3Nothing in these Terms limits your right to file a complaint before a Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019, including a Commission within whose jurisdiction you reside or personally work.
14.4If you have a complaint, please contact us first under Clause 18. Grievances are acknowledged within 48 hours and resolved within 30 days by the Grievance Officer named in clause 14 of the Privacy Policy. Grievances about Personal Data may, after that process has been exhausted, be escalated to the Board as described in the Privacy Policy.
15.ADDITIONAL TERMS FOR APPLE APP STORE USERS
15.1Acknowledgement. These Terms are concluded between you and the Company only, not with Apple Inc. ("Apple"). The Company, not Apple, is solely responsible for the App and its content.
15.2Scope of licence. The licence in Clause 7.1 is a non-transferable licence to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The App may also be accessed by other accounts associated with you through Family Sharing or volume purchasing, where enabled.
15.3Maintenance and support. The Company is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance or support services for the App.
15.4Warranty. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you. To the maximum extent permitted by Applicable Law, Apple has no other warranty obligation with respect to the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to a warranty are the Company's responsibility, to the extent that they are not effectively disclaimed under these Terms.
15.5Product claims. The Company, not Apple, is responsible for addressing any claim by you or a third party relating to the App or your possession or use of it, including: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy or similar legislation.
15.6Intellectual property. If a third party claims that the App, or your possession and use of it, infringes that third party's intellectual property rights, the Company, not Apple, is solely responsible for investigating, defending, settling and discharging that claim.
15.7Legal compliance. You represent and warrant that: (a) you are not located in a country that is subject to a United States Government embargo, or that has been designated by the United States Government as a "terrorist supporting" country; and (b) you are not listed on any United States Government list of prohibited or restricted parties.
15.8Developer contact. Questions, complaints or claims about the App should be directed to [Company Legal Name], [B-6, Single storey, Vijay Nagar], [Support Email].
15.9Third-party terms. You must comply with any applicable third-party terms of agreement when using the App, such as the terms of your wireless data service provider.
15.10Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. On your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
16.CHANGES TO THESE TERMS
16.1We may amend these Terms. We will notify you in the App before a material change takes effect. If you do not accept the change, you may cancel your Premium Subscription under Clause 6.6 and delete your account under Clause 5.3. If you continue to use the Services after the change takes effect, you accept the amended Terms.
17.GENERAL

17.2Order of precedence. If there is a conflict: (a) the Privacy Policy prevails in relation to the processing of Personal Data; (b) Clause 15 prevails, as between you, the Company and Apple, where you obtained the App from the Apple App Store; and (c) subject to (a) and (b), these Terms prevail. The Platform Provider's terms govern payment, billing and refunds.
17.3Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force.
17.4Waiver. A failure or delay by the Company in exercising any right does not operate as a waiver of that right.
17.5Assignment. You may not assign or transfer your rights under these Terms. The Company may assign or transfer its rights and obligations to a successor in connection with a merger, acquisition, restructuring or transfer of its business, provided that your rights under these Terms and the Privacy Policy are not diminished. In that case, we will notify you.
